Buyers are responsible for determining whether any carbon credit is suitable for their intended purpose, including any climate claims, reporting, or disclosures.
Theaus Global does not warrant or represent that the purchase, holding, or use of carbon credits will result in emissions reductions, carbon neutrality, net-zero outcomes, or any particular climate, regulatory, accounting, or reputational outcome. Buyers are solely responsible for determining how carbon credits may be used or claimed under applicable laws, standards, and guidance, including advertising, disclosure, and competition laws.
4. Asset Definition (Canada)
In Canada, voluntary carbon credits (VCCs) are generally treated as environmental attributes or commodities associated with emissions reduction or removal activities. Carbon credits are not being offered or marketed as securities, derivatives, or investment contracts, and are not intended to constitute an "investment" or a "security" within the meaning of applicable Canadian securities laws.
Carbon credits are offered solely for their environmental attributes, subject to definitive agreements. Nothing on this website should be interpreted as creating an expectation of profit, capital appreciation, liquidity, resale opportunity, or secondary market availability. Theaus Global does not provide investment advice, market-making services, or assurances regarding future value or transferability of carbon credits.
5. Asset Definition (U.S.)
In the United States, VCCs are commonly described as tradeable, intangible instruments and are generally treated as environmental commodities. The Commodity Futures Trading Commission (CFTC) regulates derivatives on commodities (including derivatives referencing VCCs) and has anti-fraud and anti-manipulation enforcement authority in related spot markets. Nothing on this website is investment advice or a recommendation to treat carbon credits as an investment.

This Wildwood Sequestered Carbon-Intensive Oil Project (the "Project") and the associated carbon credits is pursued solely for voluntary carbon markets and is not intended for regulatory compliance use in Alberta, including under Alberta's Technology Innovation and Emissions Reduction (TIER) system, or as a provincial policy instrument. The Government of Alberta (GoA) has not endorsed the Project as a policy or TIER compliance instrument, and nothing in this website should be construed as such endorsement.
Theaus Global is not acting as an agent of the GoA, the Crown in right of Alberta, or any ministry, agency, or instrumentality thereof. Nothing on this website should be construed as creating any partnership, joint venture, fiduciary relationship, agency relationship, or authority to bind the GoA.
References to Alberta, provincial lands, programs, policies, or regulatory frameworks are provided for informational context only. The GoA has not reviewed, approved, or endorsed this website, the Project, or any associated carbon credits, except as may be expressly stated in definitive, executed documentation issued by the relevant authority.
9. Digitization, records, and legal rights
Carbon credits may be digitized and recorded using blockchain or other digital infrastructure. Digitization can be used to represent, track, and transfer carbon credits in a secure and transparent way; however, the existence of a digital record does not, by itself, determine legal rights.
Legal rights, ownership, and entitlements in digitized carbon credits may be established and conveyed through definitive agreements and applicable corporate authorizations, including (as applicable) director resolutions and/or authorized officer (CEO) allocation statements, together with any relevant registry rules, platform terms, and applicable law. Where there is any inconsistency, definitive agreements and applicable legal documentation control.

Links and references to third-party websites, platforms, service providers, and networks are provided for convenience. Theaus Global does not control third-party sites or services and is not responsible for their content, availability, or performance.
